We advised Uniting Group (Uniting), a leading Italian company in the events, communications, and digital marketing sectors, as financial adviser on its combination with NextDifferent, a key player in the integrated communications and digital marketing sector in Italy. This transaction contributes to the creation of Italy's leading independent communications group.

Founded in 2009 under the ALL brand, now the national leader in live experiences, and thanks to the development and success of Kiwi (new media communication) and Flu (influencer marketing), Uniting is now a well-established company and one of the leading players in the Italian communications sector. The company stands out for its strong creative capabilities and wide market recognition, winning numerous awards each year.

NextDifferent, an Italian communications group established in 2024 from the merger of Next14 and Different under the leadership of the SAE Group, aims to pursue a national consolidation project. The group is a key player in the integrated communications sector, thanks to its proven and long-standing expertise in media strategy and planning services, creativity and events, loyalty, market research, and PR.

In October 2024, NextDifferent signed a binding agreement for the private equity fund QuattroR SGR to acquire a stake in the group through a €20m capital increase to support its growth.

The transaction lays the foundations for the creation of Italy's leading independent communications group, with over €120m in revenues and approximately €12.5m in EBITDA, determined to establish itself in the domestic market as a structured business and to expand internationally market through the quality and integration of its services.

With this transaction, Clearwater completes its eighth transaction in the communications and digital marketing sector, further strengthening its leadership position in the segment.

The decision to take this step, at the best moment in our company's history, is the result of long and careful consideration. We believe that the best response to the speed of change and technological innovations is to have the courage to step outside our comfort zone and join forces, skills, and talents to create something truly significant for our people and our clients. In Next Different, we have found the perfect match to realise our dream.

We all see the combination with Uniting as a new foundation in which highly successful business stories converge and unite, with the common goal of raising the bar of ambition and attempting to build a large, well-organised Italian group that is not afraid to invest, compete with multinationals in the sector, and aspire to look beyond national borders.

Marco Ferrari, CEO, NextDifferent

The investment in Uniting Group is a perfect complement to NextDifferent and represents the first building block from which to continue the ambitious acceleration of the Group's national and international development, which we will continue to support with conviction, in line with our objective of supporting the growth of excellent Italian companies.

Stefano Cassina, Senior Partner, QuattroR SGR

We are proud to have contributed to the creation of a project that represents a significant milestone in the evolution of the sector. The birth of Italy's first independent, integrated digital marketing and communications group is the result of a shared vision between entrepreneurs and industrial partners, enhanced by a balanced and sustainable growth path. This transaction reflects Clearwater's approach: supporting dynamic companies in their development plans by providing strategic and financial expertise to create long-term value.
