Clearwater has advised one of Scandinavia´s leading industrial groups within the production and sale of steel and concrete solutions for construction and industry, DS Gruppen, on the sale to the leading construction and services company in Europe, Goldbeck GmbH.

Family-owned DS Gruppen was founded in 1969 and is headquartered in Hobro, Denmark, with more than 670 employees and departments across Sweden, Norway, and Germany. The business manages the production of construction materials as well as tailored business systems and solutions, including full turnkey contracting for commercial buildings.

Over the past decade, DS Gruppen has experienced strong growth in all its business areas facing great opportunities for continued growth across Europe. In 2021, the business achieved a total turnover of approximately €300m and a pre-tax profit of €37m. DS Gruppen and its founder family Møller Hansen wished to find a strong industrial owner for the company to support the continued growth and international expansion — an essential focus on finding the right future owner to carry on DS Gruppen’s core values.

Goldbeck GmbH, a family-owned business with a significant footprint within the construction industry as well, focuses on one-stop delivery of commercial buildings from development and construction to service during operations. Goldbeck GmbH completed over 500 projects in the 2020/21 financial year, with a total turnover of approximately €4.1bn and currently employs over 8,500 people across its 90 locations across Europe.

DS Gruppen will become an independent division, continuing under the same name, and focusing on further expansion in northern Europe.

Clearwater was involved from early on in evaluating DS Gruppen’s ownership strategy for shareholders and board, providing great input and advice on how a potential change of ownership could support the continued growth and development of the company. Clearwater quickly understood and respected the success criteria of the shareholder family, and structured the process to cater for and address these criteria. The tailored approach from Clearwater secured a successful transaction for all parties and a great fit with Goldbeck.

It is very rare to experience a buyer and a seller with such identical history and identity. The fact that both DS Gruppen and Goldbeck were founded at the same time in 1969 by their respective entrepreneurs is one thing, but that both companies were founded with the production of steel rafters for construction as a starting point and since have moved within the production of concrete elements and full contracts for logistics and warehouse construction with self-developed building systems is unique. Today, both family-owned companies are led by the second generation, who have strong values, and it has been particularly important to the owner family behind DS Gruppen to find a future owner with the same values and decentralised management structure. We are proud to have helped bring two such strong family businesses together, and we look forward to following their future journey.
