We have advised Ametra Group on the sale of Ametra Integration, an entity comprising Anjou Electronique (Maine-et-Loire, France) and Butitec (Bizerte, Tunisia), to NSE Group, a specialist in the design, manufacture, and maintenance of high-tech electronic equipment, particularly for the defence and aerospace sectors.
With 230 employees, Ametra Integration achieved FY2024 revenues of €18.5m and EBITDA of €2.5m, reflecting strong growth of over 29% compared to the previous year.
Ametra Integration is a systems integrator with an electrical focus serving major defence clients such as MBDA, Thales, Dassault, and Safran. To continue addressing increasingly significant contracts, the company requires a broader industrial structure and stronger financial capacity. Defence markets are becoming more demanding, and upcoming European defence programs will require greater industrial capabilities — capabilities that Ametra Integration must be able to bring to the table.
With its size, it would have become challenging for Ametra Integration to stay aligned with the challenges of decarbonisation, operational excellence, and cybersecurity, all of which demand larger, more specialised teams. Since the pandemic, the activity of Ametra Integration has doubled, growing from less than €12m in 2021 to €18.5m in 2024. Yet despite this growth, Ametra Integration remained subscale. For large contractors, the threshold to remain a tier-one partner is €100m in revenues. By joining NSE, Ametra Integration will benefit from this critical scale and become more robust, while Ametra Group will be able to refocus on its engineering activities.
With this transaction, Anjou Electronique and Butitec become wholly owned subsidiaries of NSE and will operate under the new commercial names NSE Anjou and NSE Butitec.
Thanks to NSE’s excellent financial structure, the acquisition was mainly financed through borrowings from the Group’s long-standing partners. NSE Anjou and NSE Butitec will be consolidated into the Group’s accounts as of October 1, 2025.
