We have advised Inspiro Learning (Inspiro), a portfolio company of Inspirit Capital and an independent training provider, on its sale to Beech Tree Private Equity (Beech Tree). Our combined team provided M&A, Debt Advisory, Modelling & Data Analytics and ESG Advisory support.
Inspiro is an independent training provider delivering both apprenticeship and commercial training to the automotive, rail, services and energy sectors. Since its carve-out from Babcock in 2023 by Inspirit Capital, Inspiro has continued to expand its operations and deliver high-quality educational outcomes, building a strong reputation for excellence in vocational and technical training.
Inspiro partners with some of the UK’s most trusted brands such as BMW, Volkswagen, Jaguar Land Rover, Network Rail, Sainsburys, John Lewis and EDF. Inspiro’s scale, experience, and reputation enable the business to draw on deep sector expertise to help employers to continually develop the skill levels across their workforce. Working in close collaboration with its customers, the business designs impactful learning programmes delivered through a blended model that combines practical training in high class academies, learning in the workplace and engaging self-study. This approach drives higher learner engagement and market leading qualification achievement rates (QARs).
The partnership with Beech Tree will bring significant investment to enhance service delivery, expand technical training capabilities, and pursue strategic acquisitions.
More about the process
By combining our sector knowledge and expertise across our service lines, our team delivered a fully integrated solution for Inspiro.
Our M&A team worked closely with Inspiro’s management and Inspirit Capital from initial engagement through to completion. We developed a full suite of sales materials with vendor due diligence and ran a focused marketing process across domestic and international buyers. This resulted in strong interest from both private equity and trade buyers, enabling the shareholders to select Beech Tree as the ideal partner for the next phase of growth.
To support the transaction, our Debt Advisory team secured a tailored debt financing solution from a number of interested lenders that met the needs of Inspiro and ultimately Beech Tree who used the financing to support their acquisition.
In parallel, our Modelling & Data Analytics team built an integrated financial model that translated the business plan into robust, credible forecasts. The model provided buyers with confidence in the long-term outlook and allowed for scenario testing to support decision-making.
Finally, our ESG Advisory team assessed Inspiro’s positive impact and identified key ESG metrics for ongoing tracking and reporting. This work supported customer engagement and investor positioning, and we also authored the company’s first ESG & Impact Report to showcase its achievements and future opportunities.
