Strategic transformation in motion: A new chapter for Megatech

Megatech Industries AG (Megatech) has long been a trusted name in automotive plastics—designing and producing complex interior and exterior components for major OEMs including Volkswagen Group, BMW, and Stellantis. With nine manufacturing sites across Europe and a strong reputation for quality, the company has played a key role in shaping the vehicles of today.

Founded in 2009, Megatech grew through a series of strategic acquisitions and technological capabilities—including injection moulding, thermoforming, natural fibre processing and lightweight decorative components. But as the global automotive supply chain faced ongoing disruption, with overcapacities, increasing margin pressure and growing uncertainties regarding future production volumes and customer call-off numbers, the company found itself navigating an increasingly complex operating environment. This challenging market environment, combined with heightened customer demands, and the capital-intensive nature of the sector created a need for a new partner—one that could offer stability, investments and scale for the next chapter.

A decisive partnership for long-term growth

After a competitive process, the successful buyer was SAPA Group (SAPA), a southern Italian industrial group known for its patented One-Shot® manufacturing process and strong R&D focus. The acquisition of Megatech marked a strategic leap forward for SAPA—almost doubling its revenue to nearly €700m, diversifying its OEM base and significantly expanding its geographic footprint, including plants in the Czech Republic, Germany, and Brazil, as well as consolidating its presence in the Iberian Peninsula and Poland.

For Megatech, the transaction delivered far more than financial stability. It created a long-term platform for growth—unlocking access to new markets, expanding the customer baseand enabling cross-selling opportunities within a broader, global footprint. The combination with SAPA strengthens Megatech’s position within the international automotive supply chain, supports continued innovation and allows the company to benefit from operational synergies and the scaling of SAPA’s patented One-Shot® technology. Importantly, it reinforces relationships with major OEMs while supporting a shared commitment to sustainability, diversification, and long-term value creation.

“We were extremely happy when the deal was completed—not just because of the result, but because we knew we had helped secure a brighter future for the business and its people”, said Tobias.

Our proven M&A expertise enabled the successful coordination of a complex, multi-party process—one involving international buyers, financial institutions, OEMs, and internal stakeholders across nine production sites. The outcome is a stronger, more resilient group leveraging on a global platform, a renewed vision, and a clear path forward.

This transaction highlights our ability to deliver in the most demanding circumstances—combining global insight with local execution, deep sector knowledge, and a relentless focus on results.

A complex mandate in a shifting market

We were appointed to advise on the sale of the company, following a competitive pitch process. With a track record of delivering in high-stakes situations, a truly global team as well as extensive experience in automotive plastics, we stood out as a clear choice.

“We’ve advised on numerous transactions in this niche—our understanding of the market, the buyer universe, and the challenges suppliers face meant we were well placed to guide this process,” Tobias Schätzmüller, Managing Partner at Clearwater, explained.

The company required more than just a buyer—it needed a partner with resources and ambition to invest in growth, support future capex and provide a stable platform for its OEM relationships. Critically, the transaction had to satisfy the needs of a wide range of stakeholders, including banks, trustees, shareholders, management and OEM customers—each with a vested interest in a successful outcome.

Our approach: Sector expertise and hands-on execution

We initiated a tightly managed international process, beginning with a predefined shortlist including strategic buyers from across Europe, North America and Asia. Our global reach and deep understanding of buyer strategies meant that we could identify and engage the right parties; those with the appetite, capability and vision to take Megatech forward.

A competitive bidding environment was maintained throughout, with multiple strategic buyers progressing through intensive due diligence. At every step, our team coordinated multiple work streams under tight deadlines, keeping all stakeholders aligned and informed. Confidence in the process was essential to ensuring continuity—not only for Megatech’s future, but for the ongoing reliability of the OEM supply chain.

“We weren’t just selling a business—we were navigating a multi-stakeholder environment where trust and clarity were essential,” Tobias added.
