In the global industrial space, growth is rarely driven by a single transaction.

It is built over time through a combination of strategic clarity, consistent execution, and trusted relationships.

For global groups such as Ingersoll Rand, a leader in compressed air and industrial solutions with a long-standing track record of M&A activity, the ability to identify the right targets in local markets and rely on advisers who understand both strategic priorities and the realities of execution is critical.

A partner aligned with a clear growth strategy

Ingersoll Rand’s strength lies in its strategic clarity and consistency of execution.

The group follows a well-defined acquisition strategy, completing multiple transactions each year, focusing on businesses that can be integrated while preserving their operational identity. Management continuity, employee involvement, and long-term value creation are central to this model.

This makes partner selection particularly important. Not only are they evaluated based on market position, but also on their ability to integrate into a broader industrial vision.

In this context, Termomeccanica Group represented a strong strategic fit, enhancing Ingersoll Rand’s core capabilities while expanding its offering in key segments.

From initial interaction to a trusted relationship

Our relationship with Ingersoll Rand did not start from a defined mandate.

It traces back to 2022, when a conversation with our Nordic colleagues on an unrelated matter opened an unexpected channel. Though that opportunity did not progress, it gave us a foothold to engage more meaningfully with the group's strategic priorities.

From that point on, our focus shifted. We adopted a proactive approach aimed at identifying opportunities aligned with Ingersoll Rand’s objectives, leveraging our sector expertise and local network.

This proved effective. Over time, we connected the group with a number of relevant targets in the Italian market, building credibility and trust through consistency and alignment.

Anticipating needs and connecting the right opportunities

A key element of the relationship has been the ability to anticipate the client’s needs and act accordingly.

Operating in a market where opportunities are often fragmented and not always immediately visible, this requires continuous effort: staying close to the market, maintaining strong relationships with potential sellers, and being ready to act when the right conditions emerge.

For Ingersoll Rand, this meant identifying and engaging with targets that matched their strategic focus, including situations where vendors were not actively pursuing a sale.

The acquisition of the Termomeccanica Group, comprising TMIC and Adicomp, two leading Italian players in air and gas compressor solutions, is a clear example of this approach.

Execution built on pragmatism and trust

In this case, the process was characterised by a pragmatic approach and a clear organisational structure from Ingersoll Rand, enabling fast decision-making and efficient execution.

Our role was to support Ingersoll Rand throughout the process, from initial target identification to closing, ensuring continuity, coordination, and alignment at every stage.

The strength of the existing relationship also played an important role. A shared understanding of expectations, working style, and priorities helped maintain momentum throughout.

A partnership built over time

Ingersoll Rand’s acquisition of the Termomeccanica Group marks our second collaboration with them, following the group’s acquisition of Friulair in early 2024.

More importantly, it reflects the development of a long-term relationship built on trust, responsiveness, and a shared approach to execution.

For a group completing multiple acquisitions each year, having a partner that can consistently identify opportunities and deliver results is crucial.

Looking ahead

With the acquisition of the Termomeccanica Group, Ingersoll Rand further strengthens its presence in Italy and reinforces its position within core markets.

For us, this transaction highlights the importance of staying close to clients beyond individual deals, understanding their strategy, anticipating their needs, and supporting them over time.

Because in a market driven by long-term growth and continuous consolidation, it is not just executing deals, it's about building relationships that enable the ones that follow.
