Clearwater has advised Volution Group (Volution), a leading supplier of ventilation products, on the acquisition of Ventilairsec Group (VMI), a French leader in the Positive Input Ventilation (PIV) market.

Headquartered in Couëron and with a staff of 40 professionals, VMI sells its PIV products mainly used for residential and tertiary buildings to Heating, Ventilation, and Air Conditioning (HVAC) installers and professional distributors in France and abroad, with exports consisting of 20% of its revenues.

VMI also consists of Néosfair, an engineering company providing advisory services to consumers and corporations on problems of indoor air quality, with dedicated expertise on pollution by Radon.

Michèle Potard, CEO and co-owner of VMI since 2006, decided to give momentum to the development of the company by joining a recognised European player in the ventilation industry.

Volution specialises in air ventilation for buildings, with a focus on residential applications and commercial buildings. The group achieves a turnover of €345m and has a staff of 1,800 employees in 15 countries.

With this transaction, VMI is acquiring more substantial means and resources with the ambition of occupying a greater place in the air quality market in France and abroad, thanks to the recognised technology of VMI.

We are delighted to welcome VMI into the Volution Group. We are excited by the opportunity to leverage the skills and experience of VMI by becoming our centre of excellence for VMI technology, along with the Couëron manufacturing site. Our ambition as a group is to continue to develop our leading portfolio of brands and product solutions across our markets in Europe and Australasia. The combination of VMI and Volution provides an opportunity to develop many complementarities and synergies with the entities of the group and to grow the commercial positions of VMI in France and abroad.

The choice of Volution is above all a promising one for VMI, based on the numerous commercial and industrial levers of the project. Moving forward, VMI will be able to benefit from solid support and allow our technology to expand in France and Europe.

We are proud to have advised Volution Group in this transaction, which allows the group to enter the French market and reinforce its European offer on the technologies of Positive Input Ventilation.
