We have advised TXT e-Solutions S.p.A. (TXT), a company listed on the STAR Segment of the Mercato Telematico Azionario organised and managed by Borsa Italiana S.p.A., on its acquisition of 100% of the share capital of IT Values S.r.l. (IT Values).

TXT is a multinational IT group, an end-to-end provider of software solutions, consulting, and services supporting the digital transformation of products and processes. With a portfolio of proprietary software and specialised vertical solutions, TXT operates across various markets, with a growing presence in the aerospace, aviation, defence, industrial, government, and fintech sectors. The parent company, TXT e-Solutions S.p.A., has been listed on the STAR Segment of Borsa Italiana (TXT.MI) since July 2000.

Founded in Rome in 2022 as an IT company specialising in the creation of innovative software solutions tailored to the enterprise and public markets, IT Values offers cutting-edge digitalisation solutions focused on integration and security, addressing the complex and evolving needs of public administrations and modern enterprises.

Through this acquisition, TXT strengthens its growth in the public sector segment, where the group is already positioned with its software engineering and digital advisory offerings, led respectively by WebGenesys and HSPI, both of which have been technological and commercial partners of IT Values. The integration of IT Values' smart solutions suite into TXT’s innovative offerings is expected to drive further advancements in public sector digitalisation.

Corporate governance

TXT is one of the most dynamic and fastest-growing companies in the Italian tech sector, where it is a key player. We are pleased to have supported TXT, a company we have been working with for some time, in this transaction, providing assistance both in identifying the target and in coordinating the team of advisers.
